Terms of Use and Medical Disclaimer

This sets forth the terms and conditions (“Agreement”) under which you (“you”, “your”) may access and use the DCIS Understood website (www.dcisunderstood.org) (“Website”), an online information and communications service provided by the non-profit organization, DCIS Understood Inc. (“we”, “us” or “our”), as part of our mission to increase awareness and knowledge of Ductal Carcinoma In Situ (DCIS) and accelerate research of DCIS through education, advocacy and funding.

Acceptance of Terms, Changes and Modifications

By accessing or using our Website, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, including our Privacy Policy, incorporated by reference into this Agreement.  You acknowledge and agree that this Agreement is a contract between you and us, even though it is electronic and is not physically signed by you, and it governs your use of the Website.  If you do not agree, you should not use the Website.

Please take the time to familiarize yourself with the terms of this Agreement.  We reserve the right to modify this Agreement or its terms relating to the Website at any time, effective upon posting an updated version of this Agreement on the Website.  Your continued use of the Website after any such changes have been posted will constitute your consent to such changes.  

Medical Disclaimer and Importance of Individual Medical Advice

You may, on an occasional and irregular basis, reproduce, distribute, display or transmit an insubstantial portion of the Content, for a noncommercial purpose and without charge, to a limited number of individuals, provided you include all copyright and other proprietary rights notices with such portion of the Content in the same form in which the notices appear on the Website, the original source attribution, and the phrase “Used with permission from DCIS Understood.”  However, you may not post any Content from the Website to forums, newsgroups, mail lists, electronic bulletin boards, or other websites, without our prior written consent.

Prohibited Uses

In addition to the other terms set forth in this Agreement, you are prohibited from using the Website or Content: 

  • For any unlawful purpose;
  • To solicit others to perform or participate in any unlawful acts;
  • To violate any international, federal, provincial or state regulations, rules, laws or local ordinances;
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
  • To submit false or misleading information;
  • To upload or transmit viruses or another type of malicious code that will or may be used in any way that will affect the functionality or operation of the Website and Content, third party products and services, or the Internet;
  • To spam, phish, pharm, pretext, spider, crawl, or scrape;
  • For any obscene or immoral purpose;

We reserve the right to terminate your use of the Website for violating any of the prohibited uses.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event will we or any of our officers, directors, advisors, employees, affiliates, partners, agents, suppliers or licensors be liable to you or anyone else for any loss or injury from use of the Website and/or any Content on the Website.  In no event will we or any of our officers, directors, advisors, employees, affiliates, partners, agents, suppliers or licensors be liable to you or anyone else for any decision made or action taken by you in reliance on such content or the Website, or for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. 

Indemnification

You agree, at your expense, to indemnify and hold us and our officers, directors, advisors, employees, affiliates, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to any content you provide to us, your use of the Website, or any willful misconduct on your part.

Assignment

You may not assign, resell, sub-license, or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer without our prior written consent shall be null and void.  We are free to assign any of our rights and obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of our assets or as part of a merger or other business transaction, subject to the legal requirement that the recipient be a not-for-profit organization engaged in activities reasonably consistent with our own non-profit purposes.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable.  If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable under applicable law, then such provisions will be deemed severed and all such remaining provisions or portions thereof shall remain in full force and effect.

Additional Terms

This Agreement, together with our Privacy Policy, constitute the entire agreement with you and us for your use of the Website and Content and supersede any prior or contemporaneous representations or agreements.  All rights not expressly granted to you by this Agreement are reserved to us.  Our failure to enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.
